The website operated at https://motorygroup.com/ and such other locations as made available from time to time (collectively, the “Site”) and the services offered therefrom (collectively, the “Services”) are provided by Motory Group sales (“Motory Group,” “we,” “us,” or “our”). Motory Group is solely responsible for used automobile sales, vehicle inventory listings, car loans and financing applications, special offers, promotions (including Manager’s Specials), trade-in valuations, and all information and representations regarding the same.

By accessing or using the Service, you (“you” and, together with all persons accessing or using the Service, collectively, the “Users”) signify that you have read, understand, and agree to be bound by this Agreement (this “Agreement”) in all respects with respect to the Site, our provision of the Service, and your use of them.

PLEASE READ THIS AGREEMENT CAREFULLY AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THESE INCLUDE, BUT ARE NOT LIMITED TO, VARIOUS LIMITATIONS AND EXCLUSIONS, AND INDEMNITIES.

Vehicle Inventory, Financing, and Pricing Disclaimers

1. Used Vehicle Information: All vehicles listed on the Site are subject to prior sale. Inventory updates occur regularly, but a vehicle shown on the Site may no longer be available at the time of your inquiry or visit.

2. Pricing and Errors: While Motory Group strives to provide accurate vehicle pricing, specifications, mileage, and options, typographical, technical, or pricing errors may occur. Motory Group reserves the right to correct any errors, inaccuracies, or omissions, and to modify or update vehicle information at any time without prior notice. Advertised prices do not include applicable state/local taxes, license, title, registration fees, documentation fees, dealer preparation charges, or finance charges, unless explicitly stated otherwise.

3. Condition and Inspections: Unless expressly provided in a separate written warranty agreement executed at the time of purchase, all pre-owned vehicles are sold “AS-IS” without implied vehicle warranties by the Site. Users are strongly encouraged to inspect vehicles in person and request third-party pre-purchase inspections prior to final purchase.

4. Financing and Credit Applications: Submitting a financing application or pre-qualification form through the Site does not guarantee credit approval or specific loan terms. All credit terms, interest rates, and approval decisions are made at the sole discretion of third-party lenders and financial institutions.

Promotional Gift Cards and Offers

Motory Group may occasionally offer promotional Gift Cards or certificates through this website. Limit one Gift Card redemption per household per 6 months. Gift Cards can only be redeemed at the designated Motory Group dealership location reflecting the website where the offer was presented online. It may be redeemed only once. Void if copied or transferred and where prohibited or otherwise restricted. Improper use including any organized redemption campaign by any individual or group constitutes fraud. Gift Cards may not be reproduced, copied, purchased, traded, or sold. No refunds for any unused or partially used Gift Cards. Motory Group employees and their immediate family members are not eligible. Motory Group and its affiliated companies are not liable for any loss, damage, or delay to any person or property in connection with the use of any Gift Card. By signing up for a promotion, you agree to receive communications related to that promotion. Motory Group reserves the final decision to redeem or refuse any reward card certificate or Gift Card. You must be 18 or older and present a valid U.S. Driver’s License to qualify. Shipping is limited to U.S. addresses only. A valid email address must be provided to qualify for the offer. 

Amendments

We reserve the right, at our sole discretion, to change, modify, add, or delete portions of this Agreement from time to time without further notice. If we do this, we will post the latest version of this Agreement on this page at https://motorygroup.com/, and we will indicate at the top of such page the date of the last revision or modification. Your continued use of the Service after any such change, modification, addition, or deletion constitutes your acceptance of the Agreement as then revised. If you do not agree to abide by this or any future version of the Agreement, do not use or access (or continue touse or access) the Service. 

Intellectual Property Rights and Site Content

In this Agreement, “Content” means all materials and content of any type, including, but not limited to, photos, vehicle graphics, images, designs, profiles, messages, information, notes, text, music, sound, video, vehicle descriptions, articles, and software. All Content available or stored on the Service (other than your User Content, as defined below, but including the Service itself), together with any Content made available by Motory Group or any third party, and the selection and arrangement of all such Content and User Content (collectively, the “Service Content”), is owned fully by Motory Group or our licensors with all rights reserved. Motory Group (or, as applicable, our licensors) retains all right, interest, and title (including all intellectual property rights) in and to all Service Content. Any use of the Service or the Service Content other than as specifically authorized in this Agreement, without our prior written permission, is strictly prohibited and will automatically terminate all licenses granted by usherein. 

Authorized Use

Provided that you are eligible for use of the Service, and that you agree to this Agreement, Motory Group grants you a limited, personal, non-transferable, revocable (at any time with or without notice or cause), and non-exclusive right and license to access and use the Service and to download or print a copy of any portion of the Service Content solely for your personal, non-commercial use, subject to this Agreement and provided that you keep all copyright or other proprietary notices intact. Any Service offered through the Site is offered only in jurisdictions where it may be legally offered. You agree to comply with all applicable local, state, and federal laws, rules, and regulations governing your use of the Site and the Services. 

User Content and Your License to Us

The Service permits you to submit, transmit, copy, make available, and distribute Content through the Site (collectively, your “User Content”), such as credit application information, vehicle trade-in submissions, or contact forms. We do not claim ownership over any User Content. By providing any User Content, you grant Motory Group a limited, worldwide, royalty-free, non-exclusive right and license to use such User Content solely for the performance of the Service pursuant to our Privacy Policy, and you represent and warrant to us that you have all right, title, and interest to use such User Content on the Site. You acknowledge and agree that you are solely responsible for all of your User Content. You agree to provide us only with accurate, current, and complete User Content (such as accurate credit and income details for financing inquiries).

User Conduct (Prohibited Actions)

You acknowledge and agree that the Service is available for your personal, non-commercial use only. Without restricting anything else in this Agreement, you agree not to:

  • Use the Service or the Site unless you are over the age of 18;

  • Alter, modify, copy, distribute, frame, reproduce, republish, download, display, post, transmit, or sell in any form or by any means, in whole or in part, Service Content; 

  • Reverse engineer, decompile, disassemble, translate, or otherwise attempt to extract the source code from the Service or Service Content; 

  • Make the Service or Service Content available to anyone, or license, sublicense, sell, resell, publish, transfer, assign, distribute, rent, lease, or otherwise commercially exploit the Service;

  • Use any data mining, robots, scraping, or similar data gathering or extraction methods with respect to vehicle listings or Service Content;

  • Provide false, conflicting, or deceptive User Content, including false financial or credit details, or impersonate any individual or entity;

  • Upload, post, transmit, or share any unsolicited advertising (“spam”), private information of third parties (including Social Security numbers or payment details without consent), or malicious code (such as software viruses);

  • Disable or circumvent any access control, security feature, or interface mechanism established with respect to the Service;

  • Use the Service or any Service Content to stalk, intimidate, or harm another person;

  • Interfere with or disrupt the Service or servers/networks connected to the Service.

Trademarks

“Motory Group,” the Motory Group logo and design, and all other trademarks, trade dress, graphics, logos, designs, page headers, button icons, scripts, and service names used by Motory Group on or in connection with the Service (collectively, the “Marks”) are registered trademarks, trademarks, or trade dress of Motory Group or our licensors. The Marks may not be used, copied, or imitated, in whole or in part, without our prior written permission.

Third-Party Sites and Content

The Service may contain links to third-party websites (“Third-Party Sites”) as well as Content belonging to or originating from third parties, such as vehicle history providers, vehicle valuation tools, or third-party auto lenders (“Third-Party Content”). Such Third-Party Sites and Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and Motory Group is not responsible for any Third-Party Sites accessed through the Service. The inclusion of or linking to any Third-Party Site or Content does not imply endorsement by Motory Group. If you navigate to a Third-Party Site, you do so at your own risk.

Modifications to Service

Motory Group reserves the right at any time to perform maintenance on, add to, remove from, upgrade, suspend, or modify the Service or any part thereof with or without notice. You agree that Motory Group shall not be liable to you or to any third party for any such maintenance, addition, removal, upgrade, update, suspension, or modification.

  • Availability: The Service may be temporarily unavailable from time to time for maintenance or other reasons. Motory Group assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft, destruction, or unauthorized access to User Content.

  • AS-IS / AS-AVAILABLE: THE SITE AND OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” YOUR USE OF THE SITE, INCLUDING ALL VEHICLE LISTINGS AND SERVICES, IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOTORY GROUP DISCLAIMS ANY AND ALL REPRESENTATIONS, WARRANTIES, OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

  • Accuracy: MOTORY GROUP DOES NOT WARRANT THAT VEHICLE DESCRIPTIONS, PRICING, FINANCING CALCULATORS, OR OTHER CONTENT ON THE SITE ARE ENTIRELY ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE. WE DO NOT GUARANTEE THAT SPECIFIC VEHICLES WILL BE AVAILABLE OR THAT VEHICLE FINANCING WILL BE APPROVED.

Limitation on Liability

EXCEPT IN JURISDICTIONS WHERE SUCH PROVISIONS ARE RESTRICTED BY APPLICABLE LAW:

1. THE COLLECTIVE, AGGREGATE LIABILITY OF MOTORY GROUP AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS (THE “MOTORY GROUP PARTIES”) TO YOU FOR ANY CAUSE, ACTION, OR DAMAGE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO MOTORY GROUP FOR THE SPECIFIC SERVICES TO WHICH SUCH DAMAGE RELATES DURING THE YEAR IN WHICH SUCH CAUSE AROSE. IF NO FEES WERE PAID BY YOU, YOU SHALL BE LIMITED TO INJUNCTIVE RELIEF ONLY AND SHALL NOT BE ENTITLED TO DAMAGES OF ANY KIND.

2. IN NO EVENT WILL THE MOTORY GROUP PARTIES BE LIABLE TO YOU OR ANY THIRD PERSON FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE, VEHICLE LISTINGS, OR SITE CONTENT.

Governing Law; Venue and Jurisdiction

You agree that the laws of the State of Florida, without regard to principles of conflict of laws, will govern this Agreement and any dispute of any sort that might arise between you and Motory Group. You hereby irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Florida with respect to any dispute hereunder.

Feedback

Any questions, comments, suggestions, ideas, feedback, or other information about the Service (“Submissions”) provided by you to Motory Group are non-confidential and shall become the sole property of Motory Group, who shall own exclusive rights to their use and dissemination without acknowledgment or compensation to you.

Electronic Communications

When you use the Service or send emails to us, you are communicating with us electronically. You consent to receive communications from us electronically via email or notices posted on the Site. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

Merger or Acquisition

Motory Group may transfer or assign its rights under this Agreement in connection with a merger, acquisition, corporate reorganization, or sale of assets. In the event of such a transaction, your personal information may be transferred to the succeeding entity in accordance with our Privacy Policy. You may not transfer or assign this Agreement.

Entire Agreement & Severability

This Agreement constitutes the entire agreement between you and Motory Group regarding the use of the Service, superseding any prior agreements. The failure of Motory Group to exercise or enforce any right or provision shall not constitute a waiver. If any provision of this Agreement is held invalid or unenforceable, that provision shall be deemed severable, and the remainder of this Agreement shall continue in full force and effect.
